Motivate - Terms of Use

1. Acceptance of These Terms

These Terms of Use ("Terms") are an agreement between you and Labb Innovations Inc ("Labb Innovations," "we," "our," or "us") governing your use of the Motivate mobile application, its widgets, content, and related services (collectively, the "Service"). By downloading, accessing, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Apple's Standard Licensed Application End User License Agreement ("Apple Standard EULA") also applies to the App and is incorporated into these Terms. These Terms supplement the Apple Standard EULA. If they conflict regarding your license to the App, the Apple Standard EULA controls.

2. Eligibility

You must be legally capable of entering into these Terms. If you are under the age of majority where you live, you may use the Service only with permission and supervision from a parent or legal guardian who agrees to these Terms. The Service is not directed to children under 13.

3. License and Permitted Use

Subject to these Terms and the Apple Standard EULA, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Service on Apple-branded devices you own or control, as permitted by Apple's usage rules.

You may not:

• Copy, sell, sublicense, rent, distribute, or commercially exploit the Service;
• Reverse engineer, modify, or create derivative works from the Service except where the law expressly permits it;
• Bypass subscription, security, access, or usage controls;
• Interfere with the Service or use automated means to overload or scrape it;
• Use the Service for unlawful, abusive, fraudulent, or infringing activity; or
• Misrepresent your affiliation with Labb Innovations or another person.

4. Subscriptions, Trials, and Billing

Motivate may offer auto-renewing monthly and annual subscriptions that unlock features described in the App at the time of purchase. Available plans, prices, currencies, trial eligibility, and benefits are shown in the App before you confirm a purchase and may vary by region or offering.

• Payment is charged by Apple to the payment method associated with your Apple Account when you confirm the purchase.
• A subscription automatically renews for the same period unless you cancel it at least 24 hours before the end of the current subscription or trial period.
• Apple may charge your account for renewal within 24 hours before the end of the current period.
• If a free trial is offered and you do not cancel before it ends, the subscription converts to a paid subscription at the price shown when you subscribed.
• You can manage or cancel your subscription in your Apple Account settings. Deleting the App does not cancel a subscription.
• Purchases and refunds are administered by Apple and are subject to Apple's terms and refund policies. Except where required by law, Labb Innovations cannot issue App Store refunds directly.

For Apple's current cancellation instructions, visit Apple Support. You can use "Restore Purchases" in Motivate to ask Apple and our subscription provider to restore eligible purchases.

5. Quote Content and Wellness Disclaimer

Motivate provides quotations and reflective content for general inspiration, education, and entertainment. The Service is not medical, mental-health, psychological, legal, financial, or other professional advice, and it is not a substitute for diagnosis, treatment, counseling, or emergency services. Do not delay seeking qualified professional help because of content in the Service.

Quotations may be attributed using the best information reasonably available, but wording, attribution, translation, or historical context may be incomplete or disputed. You are responsible for deciding whether and how to rely on or share any content.

6. Ownership

The Service, including its software, design, branding, selection and arrangement of content, and original materials, is owned by Labb Innovations or its licensors and is protected by intellectual-property laws. Individual quotations may be owned by their respective authors or rights holders or may be in the public domain. No ownership right is transferred to you except for the limited license expressly granted in these Terms.

7. Third-Party Services

Motivate relies on services provided by Apple, Firebase, RevenueCat, and infrastructure providers. Third-party services are governed by their own terms and policies, and their availability may affect the Service. Apple is not responsible for providing maintenance or support for Motivate except as required under the Apple Standard EULA.

8. Availability and Changes

We may update, add, remove, suspend, or discontinue features or content, subject to applicable law. We do not guarantee that every feature, quote, subscription offer, widget, notification, or online service will always be available, error-free, or compatible with every device or operating-system version. Internet access may be required for syncing and subscription functions, and your carrier's charges may apply.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Labb Innovations disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.

10. Limitation of Liability

To the maximum extent permitted by law, Labb Innovations and its directors, officers, employees, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption arising from or related to the Service.

To the maximum extent permitted by law, our total liability for all claims related to the Service will not exceed the greater of the amount you paid for Motivate during the 12 months before the event giving rise to the claim or US $50. These limitations do not apply where prohibited by law, including liability that cannot legally be limited.

11. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially violate these Terms, use the Service unlawfully, threaten its security or other users, or if we discontinue the Service, subject to applicable law. Subscription cancellation and refunds remain governed by Section 4. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and applicable payment obligations.

12. Governing Terms

These Terms and any dispute relating to them are governed by applicable law, and mandatory consumer protections in your place of residence continue to apply. Before starting a formal dispute, please contact us and give us a reasonable opportunity to resolve the issue informally. Nothing in these Terms prevents either party from seeking urgent relief or using a court or other forum available under applicable law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may update these Terms to reflect changes to the Service, our practices, or legal requirements. We will post the revised Terms here and update the "Last updated" date. If a change is material, we will provide additional notice where required. Your continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.

14. General

If a provision of these Terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, or sale of the Service or our business. These Terms, the Apple Standard EULA, and the referenced policies form the entire agreement concerning your use of Motivate.
